TERMS OF SERVICE

Welcome to RoverPath ITES Private Limited (“RoverPath,” “we,” “us,” or “our”). By accessing our website and/or engaging our demand generation, data intelligence, or marketing services, you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”).

  1. LEGAL COMPLIANCE & DATA STEWARDSHIP

RoverPath operates as a global B2B services provider and is committed to responsible data stewardship. Both RoverPath and the Client agree to comply with all applicable data protection and privacy laws, including but not limited to:

  • GDPR (General Data Protection Regulation) – European Union / EEA
  • DPDP Act, 2023 – India
  • CCPA/CPRA – California, USA
  • CAN-SPAM Act – United States
  • CASL – Canada
  • Regional Compliance: Where applicable, Parties shall also comply with other regional regulations such as PECR (UK), LGPD (Brazil), PDPA (Singapore), and any applicable telecom or marketing-specific regulations governing outreach practices.
  1. DATA PROCESSING ROLES
  • RoverPath Role: RoverPath acts as a Data Processor (or Data Fiduciary under DPDP) when processing data on behalf of the Client.
  • Client Role: Upon delivery of leads or datasets, the Client assumes the role of Data Controller (or Data Principal-facing entity under DPDP).
  • Warranties: The Client represents and warrants that data will be processed strictly in accordance with the lawful basis under which it was collected (e.g., Legitimate Interest, Consent, or Contractual Necessity).
  • Documentation: Client shall independently assess and document its lawful basis for further processing, including outreach, storage, and profiling activities, and maintain appropriate Records of Processing Activities (RoPA).
  1. ANTI-SPAM POLICY & OUTREACH COMPLIANCE

Clients utilizing RoverPath data agree to adhere to professional and compliant B2B communication standards:

  • Opt-Out: All communications must include a clear and functional opt-out/unsubscribe mechanism.
  • Intent: Outreach must be relevant, non-deceptive, and aligned with business intent.
  • Prohibitions: High-frequency, unsolicited bulk messaging (“spam”) is strictly prohibited.
  • Registries: Client agrees to comply with Do Not Call (DNC) registries, suppression lists, and consent requirements applicable to telemarketing and SMS outreach.
  1. INTELLECTUAL PROPERTY & PROPRIETARY FRAMEWORKS

All methodologies, frameworks, and service architectures—including but not limited to DECODE, Demand, Pulse, and DRIP—remain the exclusive intellectual property of RoverPath.

  • License: Clients are granted a limited, non-transferable, non-exclusive license to use delivered outputs (e.g., leads, insights) solely for internal business purposes.
  • Restrictions: Client shall not reverse engineer, replicate, sublicense, resell, or commercially exploit RoverPath’s methodologies, workflows, or data models without prior written consent.
  1. DATA ACCURACY & DATA SUBJECT RIGHTS

RoverPath employs a combination of AI/ML systems and human validation processes to ensure data quality; however, B2B data is inherently dynamic and subject to change.

  • “As-Is” Delivery: All data is provided on an “as-is” and “as-available” basis at the time of delivery.
  • Subject Requests: In the event of a valid data subject request (e.g., access, correction, or erasure), RoverPath will notify the Client where applicable. The Client agrees to update, restrict, or delete such data within 30 days of notification.
  • Independent Requests: Client is solely responsible for honoring data subject rights requests received directly.
  1. CONFIDENTIALITY & INFORMATION SECURITY

RoverPath maintains ISO/IEC 27001:2022 aligned information security practices.

  • Safeguards: Both parties agree to implement appropriate technical and organizational safeguards to protect data.
  • Scope: Confidentiality extends to business strategies, pricing, commercial terms, and proprietary data (including ICPs and campaign insights).
  • Non-Disclosure: Confidential information shall not be disclosed to any third party without prior written consent, except where required by law.
  1. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • Indirect Damages: RoverPath shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of its services.
  • Regulatory Fines: RoverPath shall not be responsible for regulatory penalties, fines, or legal actions resulting from the Client’s misuse of data or non-compliance with applicable laws.
  • Aggregate Cap: RoverPath’s total aggregate liability shall not exceed the total fees paid by the Client for the specific services giving rise to the claim.
  1. INDEMNIFICATION

The Client agrees to indemnify, defend, and hold harmless RoverPath, its affiliates, and employees from any claims, damages, or liabilities arising from a breach of applicable data protection laws, misuse of data after delivery, or non-compliant outreach practices. This obligation shall survive termination of the agreement.

  1. GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of India, including the Information Technology Act and DPDP Act, 2023. Any disputes shall be resolved through binding arbitration in Pune, Maharashtra, India, conducted in the English language.

  1. TERMINATION FOR NON-COMPLIANCE

RoverPath reserves the right to suspend or terminate services immediately, without liability or refund, if the Client is found in violation of applicable data protection regulations or engages in practices that harm RoverPath’s reputation or deliverability.

  1. GENERAL PROVISIONS
  • Entire Agreement: These Terms constitute the entire agreement between the parties regarding site and service usage.
  • Amendments: RoverPath reserves the right to update these Terms periodically. Continued use of services constitutes acceptance of updated Terms.
  • Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control (e.g., natural disasters, acts of war, or global internet outages).
